1. Agreement
These Terms of Service ("Terms") govern access to and use of the Northstar platform and website (the "Service") provided by Northstar ("Northstar", "we", "us"). By using the Service you agree to these Terms. If your organization has a separate written agreement with Northstar, that agreement governs to the extent it conflicts with these Terms.
2. The Service
Northstar provides an AI-native due-diligence platform: deal workspaces, document management, request and obligation tracking, communications sync, and AI-assisted analysis. We may improve or modify the Service over time.
3. Accounts and access
You must provide accurate information, keep your credentials secure, and use the Service only as authorized by your organization. You are responsible for activity under your account. Optional integrations (such as connecting a Microsoft or Google mailbox) are enabled per user and can be disconnected at any time; third-party services you connect are governed by their own terms.
4. Customer content
You and your organization retain all rights to the content you upload to or create in the Service. You grant Northstar a limited license to host and process that content solely to provide the Service. You are responsible for having the necessary rights to the content you provide and for sharing decisions made within your deal workspaces. Our handling of personal information is described in the Privacy Policy.
5. Acceptable use
You will not: misuse the Service or access it by any means other than the provided interfaces; attempt to probe or breach its security; upload unlawful content or content that infringes others' rights; use the Service to send spam or unauthorized communications; or resell the Service without our written consent.
6. Confidentiality
Each party will protect the other's non-public information with at least reasonable care and use it only as needed to provide or use the Service.
7. AI features
AI-generated output is provided to assist your work and may contain errors. It is not financial, legal, or professional advice; you are responsible for reviewing output before relying on it.
8. Disclaimers
The Service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues. Northstar's aggregate liability arising out of the Service will not exceed the amounts paid by your organization for the Service in the twelve months before the claim.
10. Termination
Your organization may stop using the Service at any time. We may suspend or terminate access for material breach of these Terms. Upon termination we will, on request, delete customer content as described in the Privacy Policy.
11. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware.
12. Changes
We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above, and continued use of the Service after changes take effect constitutes acceptance.
